Right Matters Careers Coaching & Mentoring
These Terms and Conditions (“Terms”) apply to all coaching and mentoring services provided under Right Matters, operated by Invitise Ltd (Company No. 13345316) (“we”, “us”, “our”). By booking, purchasing, or receiving services from Right Matters, you (“you”, “the Client”) agree to these Terms.

If you do not agree to these Terms, you must not book or use our services.

1. Definitions

1.1 In these Terms, the following definitions apply:

“Services” means careers coaching and mentoring services provided by Right Matters, including one-to-one sessions, related communications, and any supporting materials.

“Session” means a scheduled coaching or mentoring appointment delivered online or in person.

“Booking” means the reservation of a Session time.

“Materials” means any documents, templates, written guidance, or resources provided by us.

“Working Day” means Monday to Friday, excluding public holidays in England and Wales.

1.2 References to “Client” include both individual recipients of the Services and organisations (including employers) that purchase or fund the Services on behalf of an individual. Where an organisation funds the Services, that organisation is responsible for payment and contractual compliance, while the Services are delivered to the individual recipient.

2. Service overview and scope

2.1 Right Matters provides careers coaching and mentoring. Services may include, depending on the Client’s needs:
⦁ Career direction and transition mentoring
⦁ CV and LinkedIn profile review
⦁ Role targeting and job search strategy guidance
⦁ Interview preparation and professional communication
⦁ Confidence, accountability, and structured next steps

2.2 We do not provide:
⦁ Recruitment agency services or job placement
⦁ Guaranteed interviews, offers, or outcomes
⦁ Legal, medical, clinical, financial, or regulated advice
⦁ Therapy, counselling, or crisis support
• Outplacement services or regulated advisory services

2.3 You remain responsible for your career decisions, applications, interviews, negotiations, and actions taken following any Session or Materials provided.

2.4 Services may be delivered on a sessional, package, or bespoke basis. Packages may be standard or custom and will be agreed in writing at the point of booking. Bespoke or custom arrangements are subject to these Terms unless otherwise agreed in writing.

2.5 Optional services or add-ons may be offered as part of the Services, including decision-support tools, assessments, or additional mentoring sessions where appropriate. Any optional services will be agreed in advance and may be subject to additional fees and specific terms communicated at the point of booking.

3. Eligibility and under-18s

3.1 Services are available to adults and to school leavers/young people where appropriate.

3.2 Where the Client is under 18, a parent or legal guardian must:
⦁ Provide written consent prior to Services commencing, and
⦁ Be the contracting party responsible for payment and compliance with these Terms.

3.3 We may refuse or discontinue Services for under-18s if we consider it appropriate for safeguarding or practical reasons.

4. Booking and delivery

4.1 Sessions are typically delivered online (for example by video call). In-person Sessions may be offered at our discretion and may be subject to additional arrangements.

4.2 Booking instructions, Session duration, and availability will be provided at the point of booking.

4.3 You are responsible for ensuring you have suitable internet access, a functional device, and a private environment for Sessions.

4.4 If you are late, the Session will usually still end at the scheduled time to protect other bookings, and the full fee remains payable.

5. Fees, payment and invoicing

⦁ Where payment is required in advance, the Session is not confirmed until payment is received.
⦁ Where invoicing is used, invoices must be paid within the stated invoice terms.

5.2A Where payment is required in advance, Services will not commence until payment has been received in full. Bookings for which payment is not received may be treated as cancelled without notice.

5.3 If a payment is overdue, we may suspend Services until payment is received.

6. Cancellations, rescheduling and missed sessions

6.1 24-hour notice requirement: If you need to cancel or reschedule a Session, you must provide at least 24 hours’ notice.

6.2 If you cancel or request to reschedule with less than 24 hours’ notice, the Session may be charged in full (or treated as used if part of a package), except where we agree otherwise at our discretion.

6.3 If you do not attend a Session (“no-show”), the Session will be charged in full (or treated as used if part of a package).

6.4 If we need to cancel a Session, we will offer:
⦁ A rescheduled Session at a mutually convenient time, or
⦁ A refund for that Session (if paid and not delivered)

6.5 Where a package is purchased, Sessions must be completed within the following timeframes unless otherwise agreed in writing:

• 3-session packages: within 6 weeks
• 6-session packages: within 10 weeks
• 8-session packages: within 14 weeks

Sessions not used within the applicable timeframe will expire.

6.6 Once a package has commenced, fees are non-refundable. Unused or expired Sessions will not be refunded or carried forward, except where otherwise agreed in writing by a Director of Invitise Ltd.

7. Confidentiality

7.1 We treat coaching and mentoring conversations as confidential.

7.2 We will not disclose information about you to third parties without your consent, except where disclosure is required by law or where we reasonably believe there is a safeguarding risk (for example, risk of harm to yourself or others).

7.3 You acknowledge that if a parent or guardian is the contracting party, we may need to communicate with them about scheduling, payments, and administrative matters. We will handle this sensitively and professionally. This does not entitle an employer or funding organisation to access the content of coaching or mentoring sessions without the individual’s consent.

7.4 You agree not to record Sessions without our prior written consent.

8. Your responsibilities

8.1 To benefit from the Services, you agree to:
⦁ Provide accurate information
⦁ Engage respectfully and professionally
⦁ Complete agreed actions where possible
⦁ Attend Sessions on time
⦁ Communicate changes promptly (including cancellations)

8.2 You accept that progress depends on personal effort and external market conditions. We cannot control hiring decisions made by employers.

9. Acceptable use and conduct

9.1 We may refuse, pause, or terminate Services if:
⦁ You behave abusively, threateningly, or disrespectfully
⦁ You repeatedly miss Sessions or do not engage
⦁ You request Services outside scope (for example legal advice, medical advice, job placement)
⦁ Continuing would be inappropriate (including safeguarding concerns)

9.2 Where Services are terminated under this clause, fees paid may be non-refundable for Sessions already delivered or reserved.

10. Materials, intellectual property and reuse

10.1 All Materials provided by Right Matters (including templates, written guidance, and resources) remain the intellectual property of Invitise Ltd unless stated otherwise.

10.2 Materials are provided for your personal use only and must not be copied, shared, sold, published, or distributed without permission.

10.3 You may use your updated CV, LinkedIn profile content, and application materials for your own job search and professional purposes.

11. Disclaimers and limitation of liability

11.1 The Services are provided on a professional best-efforts basis. We do not guarantee outcomes such as interviews, job offers, promotions, or salary increases.

11.2 Nothing in these Terms excludes or limits liability for:
⦁ Death or personal injury caused by negligence
⦁ Fraud or fraudulent misrepresentation
⦁ Any liability that cannot be excluded under applicable law

11.3 Subject to clause 11.2, we are not liable for:
⦁ Loss of earnings, loss of opportunity, or indirect or consequential losses
⦁ Decisions made by employers or third parties
⦁ Actions you take (or do not take) following Sessions or Materials

11.4 To the extent permitted by law, our total liability for any claim arising out of or in connection with the Services will not exceed the amount paid by you for the relevant Session(s) or package giving rise to the claim.

12. Data protection and privacy

12.1 Right Matters follows the Privacy Policy of Invitise Ltd. Please refer to our Privacy & Legal Notice page and the Invitise Ltd Privacy Policy for details of how personal data is handled.

12.2 We may process personal data for the purposes of delivering the Services, scheduling Sessions, record keeping, and responding to enquiries.

13. Complaints

13.1 If you are dissatisfied with the Services, please raise the issue promptly so we can try to resolve it.

13.3 We aim to acknowledge complaints within a reasonable timeframe and respond as soon as practicable.

13.4 Refunds are not automatic and will only be considered where Services have not been delivered as agreed. Dissatisfaction alone does not entitle the Client to a refund.

14. Changes to these Terms

14.1 We may update these Terms from time to time. The version published on our website at the time of booking will apply to your booking, unless we agree otherwise in writing.

15. Governing law and jurisdiction

15.1 These Terms are governed by the laws of England and Wales.

15.2 The courts of England and Wales have exclusive jurisdiction to resolve any disputes arising out of or in connection with these Terms and the Services.
